CONDOIMAGE Media Contributor Partner Agreement

This CONDOIMAGE Media Contributor Partner Agreement (“Agreement”) governs participation in the CONDOIMAGE Media Contributor Partner Program.
By applying to the program, submitting Media, selecting a licensing option, or otherwise participating as a CONDOIMAGE Media Contributor Partner (“Partner”), you agree to this Agreement.
“Media” means photographs, videos, drone photography, drone video, and other visual content submitted to and accepted by CONDOIMAGE.
1. The Media Contributor Partner Program
CONDOIMAGE provides the infrastructure to organize, market, license, deliver, and distribute professional building Media throughout the real estate industry.
Approved Media may be offered through:
- Direct customer licensing and Building Media Packages
- B2B and enterprise licensing
- API and CDN distribution
- Authorized technology and distribution partners
- Other CONDOIMAGE licensing and distribution channels
CONDOIMAGE determines which Media is accepted, how it is categorized and presented, and through which eligible channels it may be offered.
Submission or acceptance does not guarantee licensing, distribution, customer usage, placement, or earnings.
2. Media Licensing Options
You are a CONDOIMAGE Media Contributor Partner.
Standard, Exclusive, and Buyout are licensing options applied to eligible Media. They are not different types of Partners.
Different Media in your portfolio may use different licensing options.
A. Standard — 30%
You retain copyright ownership.
You grant CONDOIMAGE a worldwide, non-exclusive, sublicensable license to host, reproduce, display, market, process, distribute, and license approved Standard Media as provided by this Agreement.
You may continue using, selling, and licensing Standard Media elsewhere.
Under the current Media Contributor Partner Revenue & Payout Policy, eligible Standard Media earns 30% of Qualifying Licensing Revenue attributable to that Media.

B. Exclusive — 40%
You retain copyright ownership.
You may request Exclusive status for eligible Media. Exclusive status begins only after CONDOIMAGE accepts the Media as Exclusive.
You grant CONDOIMAGE a worldwide, exclusive, sublicensable right to market, distribute, and license that specific Exclusive Media.
While Media is Exclusive, you may not commercially license, sell, distribute, or make the same or substantially similar version of that Media available through another licensing marketplace, stock library, distributor, or similar service.
You may continue displaying the Media in your own portfolio, website, social media, and reasonable self-promotional materials, provided you are not offering it for commercial licensing outside CONDOIMAGE.
You remain free to photograph the same building, work with other clients, and commercially license genuinely different Media from the same building or shoot.
The Media is exclusive. You are not.
Exclusivity applies prospectively. Proper licenses you granted before CONDOIMAGE accepted the Media as Exclusive remain valid.
Before Media is accepted as Exclusive, you must disclose any material pre-existing license, distribution arrangement, exclusivity obligation, client right, or other restriction that could conflict with or materially limit CONDOIMAGE’s Exclusive rights. Acceptance of Media as Exclusive is based in part on the accuracy and completeness of that disclosure.
Under the current Media Contributor Partner Revenue & Payout Policy, eligible Exclusive Media earns 40% of Qualifying Licensing Revenue attributable to that Media.

C. Buyout — Upfront Payment
You may designate eligible Media as Available for Buyout. This does not require CONDOIMAGE to purchase it.
CONDOIMAGE may make a Buyout Offer for individual assets, groups of assets, or complete building-media collections.
Each Buyout Offer will specify:
- Media covered
- Purchase price
- Rights being acquired
- Whether copyright ownership is transferred
- Any permitted continuing Partner uses
- Effective date
- Payment terms
A Buyout becomes effective only when the applicable offer and required documentation are accepted.
Unless the Buyout Offer states otherwise, Buyout Media does not generate ongoing Partner earnings after the Buyout.

3. Rights Granted to CONDOIMAGE
For Standard and Exclusive Media, you authorize CONDOIMAGE, subject to the applicable licensing option, to:
- Host and store Media
- Reproduce and display Media
- Create thumbnails, previews, and watermarked versions
- Resize, crop, compress, convert, and optimize Media
- Prepare versions for web, MLS, mobile, social, print, API, CDN, and other supported formats
- Organize and categorize Media
- Associate Media with buildings, addresses, locations, categories, and other relevant information
- Include Media in galleries and Building Media Packages
- Market and promote Media
- License Media directly to customers
- Sublicense Media through authorized B2B and enterprise relationships
- Deliver Media through websites, APIs, CDN, applications, integrations, and technology partners
CONDOIMAGE determines its customer pricing, products, packages, licensing structures, and distribution methods.
4. Technical Processing and AI-Assisted Media
CONDOIMAGE may perform technical processing reasonably necessary to prepare and distribute Media, including resizing, cropping, compression, color correction, format conversion, optimization, and watermarking.
CONDOIMAGE may also offer approved visual enhancements and derivative-media services, including AI-assisted editing, day-to-dusk treatments, sky replacement, animation, image-to-video transformation, and similar real estate media applications, subject to applicable program and customer licensing terms.
These activities do not transfer your underlying copyright unless a Buyout or separate written agreement specifically provides otherwise.
Partner Media will not be licensed by CONDOIMAGE for general-purpose artificial intelligence model training unless separately agreed.
5. Ownership and Rights
You may submit only Media you have the legal authority to license.
By submitting Media, you represent and warrant that:
- You own the Media or control the necessary licensing rights.
- You have authority to enter into this Agreement.
- CONDOIMAGE’s authorized use will not violate another person’s copyright, trademark, privacy, publicity, contractual, or other rights.
- You have obtained releases, permits, or permissions where legally required for the intended licensing.
- Information you provide about the Media is materially accurate.
- No other agreement prevents you from granting the rights selected.
If Media was originally created for a client, you are responsible for confirming that your agreement with that client permits the licensing contemplated here.
CONDOIMAGE may request evidence of ownership, releases, permissions, or other rights.
For each item of Media submitted, you further represent and warrant that you possess all rights necessary for CONDOIMAGE to exercise the rights granted under this Agreement, including customer licensing, sublicensing, B2B and enterprise distribution, API and CDN delivery, authorized technology-partner distribution, and other downstream uses permitted by CONDOIMAGE licenses.
Possession of Media, access to Media, receipt of Media from a client or third party, or permission to use Media for a particular listing, project, marketing campaign, portfolio, or other limited purpose does not by itself establish authority to license, sublicense, or distribute that Media through CONDOIMAGE.
If Media is subject to any existing license, restriction, exclusivity obligation, client agreement, assignment, or other arrangement that could materially affect CONDOIMAGE’s rights under this Agreement, you must disclose that restriction to CONDOIMAGE before submitting the affected Media or requesting Exclusive status.
CONDOIMAGE may reasonably request documentation or other evidence supporting your ownership, licensing authority, releases, permissions, or other rights relating to submitted Media. You agree to reasonably cooperate with such requests, particularly where CONDOIMAGE receives a copyright, ownership, privacy, contractual, or other rights claim involving the Media.
6. Media Review
CONDOIMAGE may review Media for professional quality, building accuracy, relevance, technical standards, duplication, current condition, licensing eligibility, and other platform requirements.
CONDOIMAGE may accept, reject, reclassify, limit, suspend, discontinue, or remove Media.
CONDOIMAGE may stop offering Media for future licensing without terminating the Partner’s account.
Previously granted valid licenses remain unaffected.
7. How CONDOIMAGE Sells and Distributes Media
Approved Partner Media may participate in multiple channels.
Building Media Packages
Real estate professionals may license complete building-media packages containing approved photography, drone, amenity, exterior, video, and other Media.
Direct Licensing
Customers may license individual Media and other CONDOIMAGE media offerings.
B2B & Enterprise
Brokerages, MLS/IDX providers, REALTOR® associations, property-management organizations, portals, and other enterprises may license or access Media at scale.
API & CDN
Eligible Media may be delivered through CONDOIMAGE APIs, CDN infrastructure, websites, applications, and authorized integrations.
One asset may participate in multiple licensing channels and support multiple authorized downstream uses.
8. Qualifying Licensing Revenue
“Qualifying Licensing Revenue” means revenue actually received by CONDOIMAGE that is attributable to eligible Partner Media under the applicable product or commercial arrangement, after applicable refunds, chargebacks, payment reversals, transaction credits, taxes collected from customers, and similar adjustments.
A customer license may permit multiple uses.
A royalty or Partner earning is generated by the applicable licensing transaction or revenue allocation — not by every individual publication, view, impression, API request, CDN request, download, or downstream use.
9. Revenue Allocation
Some CONDOIMAGE products and agreements may include:
- Multiple Media assets
- Multiple Media Contributor Partners
- CONDOIMAGE-owned Media
- Building Media Packages
- Subscriptions
- Enterprise licenses
- API/CDN access
- Platform services
- Building data
- Other bundled products or services
CONDOIMAGE will use a reasonable and consistently applied methodology to determine the portion of Qualifying Licensing Revenue attributable to eligible Partner Media.
Allocation methodologies may differ by product or distribution channel.
Detailed calculation methods, current royalty percentages, minimum payouts, and related rules may be maintained in the Media Contributor Partner Revenue & Payout Policy.
CONDOIMAGE will maintain records sufficient to calculate eligible Partner earnings.
10. Royalty Rate Changes
Current program rates are:
- Standard: 30%
- Exclusive: 40%
CONDOIMAGE may change program rates prospectively by providing reasonable advance notice of material changes.
A change will not reduce Partner earnings already earned before the effective date of the change.
Partners who do not wish to continue under a new rate may withdraw eligible Media subject to existing licenses, Exclusive terms, and applicable notice requirements.
11. Promotional Uses
CONDOIMAGE may display approved Media for reasonable promotional and operational purposes, including:
- Watermarked previews
- Search results
- Building galleries
- Thumbnails
- CONDOIMAGE marketing
- Social media
- Sales presentations
- API demonstrations
- Customer acquisition
- Media Contributor Partner promotion
These non-revenue promotional displays do not independently generate Partner earnings.
12. Earnings and Payments
CONDOIMAGE will maintain records of eligible Partner earnings and make earnings information available through methods provided by the Media Contributor Partner Program.
Payments are subject to the current Media Contributor Partner Revenue & Payout Policy, including applicable:
- Payout schedules
- Minimum thresholds
- Supported payment methods
- Identity verification
- Tax documentation
Balances below the minimum threshold may carry forward.
Refunds, chargebacks, cancellations, overpayments, and similar adjustments may be deducted from current or future earnings.
13. Taxes and International Participation
Partners are responsible for taxes applicable to amounts received, except where CONDOIMAGE is legally required to collect, report, or withhold taxes.
CONDOIMAGE may require identity and tax documentation.
Participation, payment methods, currencies, and features may vary by jurisdiction and may be subject to applicable law, sanctions screening, banking restrictions, payment-provider availability, tax requirements, and identity verification.
CONDOIMAGE may restrict participation or payment where legally or operationally necessary.
14. Original Files and Backups
Partners are responsible for maintaining their own original files and backups.
CONDOIMAGE is not intended to serve as the Partner’s sole archival or backup service.
CONDOIMAGE does not guarantee permanent storage or recovery of submitted original files.
15. Metadata
CONDOIMAGE may read, preserve, normalize, supplement, organize, display, and distribute metadata associated with submitted Media, including copyright, creator, building, location, category, and technical information.
CONDOIMAGE does not guarantee that metadata will be retained by every file format, customer, platform, API partner, or downstream distribution channel.
16. Existing Customer Licenses
Removing Media or ending participation does not cancel licenses or distribution rights properly granted before removal.
Existing licenses may continue according to their original terms.
This includes applicable rights granted to direct customers, B2B customers, enterprise customers, API partners, technology partners, and authorized distributors.
A Partner may not assert an infringement or other rights claim against a CONDOIMAGE customer, licensee, sublicensee, authorized distributor, API partner, or technology partner solely because of a use that was validly licensed by CONDOIMAGE and remains within the scope of that license.
Nothing in this provision limits a Partner’s rights with respect to uses that materially exceed or fall outside the scope of a valid CONDOIMAGE license.
17. Standard Media Withdrawal
Partners may request removal of Standard Media from future licensing.
CONDOIMAGE may require a reasonable processing period to remove Media from active channels and distribution systems.
Removal stops new licensing where reasonably practicable.
It does not require CONDOIMAGE or customers to retrieve or delete copies properly licensed or distributed before removal.
18. Exclusive Term and Withdrawal
Exclusive Media has an initial 12-month exclusive term beginning when CONDOIMAGE accepts the Media as Exclusive.
After the initial term, the Partner may request withdrawal from Exclusive status with 90 days’ written notice.
During the notice period, the Media remains Exclusive.
Previously granted licenses remain valid after withdrawal.
CONDOIMAGE is not required to retrieve properly licensed copies already distributed.
CONDOIMAGE may release Media from Exclusive status earlier at its discretion.
19. Indemnification
You agree to defend, indemnify, and hold harmless CONDOIMAGE and its affiliates, officers, directors, employees, authorized licensees, sublicensees, distribution partners, technology partners, and service providers from third-party claims, damages, judgments, settlements, liabilities, losses, and reasonable attorneys’ fees and costs arising from or relating to:
- Your material breach of this Agreement
- False, inaccurate, or misleading ownership or rights representations
- Media submitted without required ownership, licensing authority, releases, permissions, or other rights
- Your infringement or violation of another party’s copyright, trademark, privacy, publicity, contractual, intellectual-property, or other legally protected rights
- Your failure to disclose a material existing license, restriction, assignment, or exclusivity obligation affecting submitted Media
- Fraudulent or unlawful conduct associated with your account or submitted Media
CONDOIMAGE will provide reasonable notice of a covered third-party claim.
The Partner may assume the defense of a covered claim using qualified counsel reasonably acceptable to CONDOIMAGE. CONDOIMAGE may participate in the defense with counsel of its choosing at its own expense, except where separate representation is reasonably necessary because of an actual conflict of interest attributable to the Partner’s conduct.
The Partner may not settle a claim in a manner that imposes liability, admission of wrongdoing, continuing obligation, restriction, or other material burden on CONDOIMAGE or another indemnified party without CONDOIMAGE’s prior written consent, which will not be unreasonably withheld.
CONDOIMAGE may take reasonable immediate action to suspend, restrict, or remove disputed Media while a covered claim is being investigated or resolved.
20. Limitation of Liability
Participation does not guarantee Media acceptance, licensing, placement, exposure, distribution, or earnings.
To the maximum extent permitted by applicable law, CONDOIMAGE will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from this Agreement or the Media Contributor Partner Program.
Except where prohibited by law, CONDOIMAGE’s aggregate liability arising from the Agreement will not exceed the greater of $1,000 or the amount paid or payable to the Partner during the 12 months immediately preceding the event giving rise to the claim.
Nothing in this Agreement excludes liability that cannot legally be excluded or limited.
21. Tracking Licensing and Usage
CONDOIMAGE tracks licensing and distribution activity occurring through its systems but does not guarantee tracking of every downstream publication or use.
One license may authorize Media to appear across multiple listings, websites, applications, marketing campaigns, social channels, offices, agent accounts, or other permitted uses.
Those downstream uses do not necessarily constitute separate licensing transactions or separate Partner earnings.
CONDOIMAGE does not provide internet-wide copyright monitoring.
22. Unauthorized Use
Partners may report suspected unauthorized use believed to relate to CONDOIMAGE.
CONDOIMAGE may review its licensing records to determine whether the use appears covered by an applicable customer or distribution relationship.
Unless separately agreed, Partners remain responsible for independently monitoring unauthorized uses outside CONDOIMAGE’s licensing systems.
23. Partner Accounts and Conduct
Partners must provide accurate account, identity, payment, and tax information and maintain reasonable account security.
Partners may not:
- Submit Media they lack authority to license
- Manipulate licensing or download activity
- Artificially generate earnings
- Create fraudulent transactions
- Misrepresent ownership
- Interfere with CONDOIMAGE systems
- Use the program unlawfully
- Submit Media obtained from another source when you do not possess the rights necessary to license and sublicense that Media through CONDOIMAGE
- Conceal or materially misrepresent existing licenses, ownership interests, assignments, restrictions, or exclusivity obligations affecting submitted Media
Detailed examples of unacceptable Media sources and submission practices may be maintained in the applicable CONDOIMAGE Media Submission Guidelines.
CONDOIMAGE may investigate suspicious activity and temporarily hold related payments while investigating fraud, ownership disputes, chargebacks, or violations.
24. Rights Disputes
If CONDOIMAGE receives a credible copyright, ownership, privacy, or other rights complaint, it may temporarily disable affected Media and hold related unpaid earnings while investigating.
CONDOIMAGE may request evidence establishing the Partner’s rights.
You agree to reasonably cooperate with a rights investigation and, where available and reasonably relevant, provide documentation or evidence sufficient to establish ownership or licensing authority. Such evidence may include original files, metadata, copyright registrations, assignments, licenses, releases, client agreements, invoices, correspondence, or other records relating to the applicable Media.
CONDOIMAGE may temporarily withhold unpaid earnings reasonably attributable to disputed Media while a rights dispute is being investigated.
If CONDOIMAGE reasonably determines that Media was submitted in material breach of the ownership, authority, exclusivity, or rights representations in this Agreement, CONDOIMAGE may offset against amounts otherwise payable to the Partner any amounts previously paid that are directly attributable to that Media, together with amounts the Partner is obligated to reimburse under Section 19, to the extent permitted by applicable law.
Media submitted without appropriate rights may be removed, related unpaid earnings may be adjusted where appropriate, and the Partner account may be suspended or terminated.
25. Buyout Media
Completed Buyouts are governed by their applicable Buyout Offers.
Once effective, the Partner may not withdraw, sell, license, distribute, or otherwise use Buyout Media contrary to the rights transferred to CONDOIMAGE.
Any continuing Partner rights must be stated in the applicable Buyout Offer.
26. Termination
Partners may close their accounts subject to existing licenses, Exclusive commitments, completed Buyouts, pending payment adjustments, rights disputes, and surviving obligations.
CONDOIMAGE may suspend or terminate participation for material breach, rights violations, fraud, manipulation, unlawful conduct, legal requirements, security concerns, or other legitimate program reasons.
Termination does not invalidate licenses properly granted before termination.
Provisions that by their nature should survive termination will continue to apply.
27. Independent Relationship
Participation does not create an employment, agency, partnership, joint venture, franchise, or fiduciary relationship.
Partners participate as independent Media Contributor Partners and remain responsible for their own equipment, expenses, insurance, permits, taxes, and business obligations.
28. Changes to the Agreement and Program
CONDOIMAGE may update this Agreement and related program policies.
Material changes will become effective following reasonable notice and as permitted by applicable law.
Where appropriate, CONDOIMAGE may require acceptance of updated terms before continued participation.
Existing customer licenses remain valid.
29. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Informal Resolution
Before initiating arbitration, either party must provide written notice describing the dispute and requested resolution.
The parties will have 30 days after receipt of the notice to attempt in good faith to resolve the dispute informally.
Binding Individual Arbitration
If the dispute is not resolved, disputes arising out of or relating to this Agreement will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under the rules applicable to the dispute.
Florida’s Revised Arbitration Code recognizes and governs arbitration agreements within its scope.
The legal seat of arbitration will be Miami-Dade County, Florida.
Hearings may be conducted remotely by video or other electronic means unless the arbitrator determines an in-person hearing is reasonably necessary.
AAA maintains separate Commercial and international arbitration procedures and fee schedules, so counsel should confirm which rules govern foreign Media Contributor Partners before launch.
Individual Proceedings
To the extent permitted by applicable law, arbitration will be conducted individually and not as a class, collective, consolidated, or representative proceeding.
Exceptions
Either party may pursue:
- An eligible claim in small claims court
- Temporary or injunctive relief necessary to protect intellectual-property rights
- Relief relating to unauthorized use or distribution of Media where immediate judicial action is reasonably necessary
For matters properly excluded from arbitration, the parties consent to the jurisdiction of the state or federal courts located in Miami-Dade County, Florida, except where applicable law requires otherwise.
30. No Guaranteed Earnings
CONDOIMAGE does not guarantee:
- Media acceptance
- Customer demand
- Licensing frequency
- Search placement
- Distribution volume
- API activity
- Revenue
- Minimum Partner earnings
Results depend on customer demand, Media quality and eligibility, licensing activity, distribution channels, and commercial arrangements.
31. Contact
Questions about this Agreement, Media licensing, Partner earnings, copyright, or the Media Contributor Partner Program may be submitted through CONDOIMAGE’s Media Contributor Partner support system or published contact channels.
32. Authority and Eligibility
You represent that you are at least 18 years old and legally capable of entering into this Agreement.
If you participate on behalf of a company, photography studio, agency, partnership, or other organization, you represent and warrant that you have authority to bind that organization to this Agreement.
References to “you,” “Partner,” and “Media Contributor Partner” include the applicable organization where the account is maintained on behalf of such organization.
